1. License Grant

Subject to your compliance with this Agreement, Account with MCP grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business purposes.

2. Permitted Use

You may use the Service to connect authorized QuickBooks accounts and other supported systems with MCP-compatible tools, applications, workflows, and integrations.

You are responsible for ensuring that you have all necessary rights and permissions to access, process, transmit, or use any data made available through connected systems.

3. Restrictions

You may not:

• Use the Service for unlawful, fraudulent, or abusive purposes.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Interfere with or disrupt the operation or security of the Service.
• Reverse engineer or attempt to derive protected source code except where permitted by law.
• Use the Service to access data that you are not authorized to access.
• Resell or redistribute the Service except under a separate written agreement.
• Circumvent authentication, security, rate limits, or access controls.

4. Your Accounts and Credentials

You are responsible for maintaining the confidentiality and security of your login credentials, API credentials, access tokens, and connected accounts.

You are responsible for activity performed through your authorized account unless prohibited by applicable law.

5. QuickBooks and Third-Party Services

The Service may integrate with QuickBooks and other third-party platforms. Account with MCP is an independent service and is not responsible for the operation, availability, accuracy, security, or policies of third-party services.

Your use of third-party products and services remains subject to the applicable third party's terms and policies.

6. User Data

You retain ownership of data that you provide to or access through the Service. You grant Account with MCP the limited rights necessary to process such data solely to provide, operate, secure, support, and improve the Service.

7. Intellectual Property

The Service, including its software, design, documentation, functionality, trademarks, and related intellectual property, is owned by Account with MCP or its licensors and is protected by applicable intellectual property laws.

No rights are granted except those expressly provided in this Agreement.

8. Updates and Changes

We may modify, update, enhance, suspend, or discontinue portions of the Service from time to time. Features and integrations may change as third-party APIs, platforms, and technical requirements evolve.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. ACCOUNT WITH MCP DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCOUNT WITH MCP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO USE OF THE SERVICE.

11. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably believe that an account is being used in violation of this Agreement, creates a security risk, or exposes Account with MCP or others to potential liability.

You may stop using the Service at any time and revoke connected third-party authorizations where supported.

12. Governing Law

This Agreement will be governed by applicable law without regard to conflict-of-law principles, except where otherwise required by law.

13. Changes to This Agreement

We may revise this Agreement from time to time. Updated terms will be posted on this page with a revised effective date.
